As a Senior Transactional Lawyer at Carta, you will join the Compliance – Transactional team, collaborating with the Head of Investment Compliance and a diverse group of legal professionals. Your primary responsibility will be to serve as the main legal contact for institutional investors and asset manager clients across various sectors, including private equity, infrastructure, credit, and real estate. Carta is a leading platform and AI-native ecosystem for private capital, trusted by over 55,000 companies and 1.8 million equity holders in more than 160 countries.

In this role, you will act as the client's trusted deal-side compliance partner, advising on compliance risk factors across live transactions with clarity and commercial pragmatism. You will work closely with private equity deal teams to understand complex deal structures, identify counterparties, and conduct comprehensive risk analyses covering areas such as anti-money laundering (AML), bribery and corruption, financial crime, and reputational risk. Additionally, you will review fund structures, special purpose vehicles (SPVs), partnerships, and trusts to map corporate ownership and fund flows, ensuring compliance under deal timeline pressures. Collaboration with clients' legal and compliance teams will be essential to confirm that transactions meet AML/CTF regulations, internal policies, and jurisdictional requirements.

To be considered for this position, you should be a qualified lawyer with 4-6+ years of post-qualification experience (PQE) in regulatory or investment compliance, preferably representing asset managers, institutional investors, or other financial services clients. You must be licensed to practice in the UK or Europe, with other comparable jurisdictions considered. A deep understanding of complex asset management structures, including fund structures, SPVs, offshore vehicles, and multi-jurisdictional counterparties, is essential. The role requires a commercially sharp and solutions-oriented approach, viewing compliance as an enabler of deal velocity while maintaining client protection. Comfort in serving as the primary contact for demanding institutional clients in a fast-paced financial services environment is crucial.
