General Counsel
Ursa Major is seeking a General Counsel to serve as the chief legal advisor for the company, providing comprehensive legal leadership across all business areas. The role involves managing legal risks, structuring transactions, ensuring regulatory compliance—particularly within the aerospace and defense sectors—and collaborating closely with executive leadership to support the company's growth initiatives.
Key responsibilities include overseeing contracts, procurement, supplier and subcontractor agreements, licensing, intellectual property, indemnification, government contracts, and export controls such as ITAR and EAR. The General Counsel will also advise leadership on regulatory compliance and policy matters pertinent to aerospace and defense, manage interactions with relevant government agencies and regulatory authorities, and ensure internal policies and procedures uphold ethical conduct, corporate compliance, risk management, and corporate governance. Additionally, the role involves supporting corporate transactions, managing disputes and litigation, and providing counsel on employment, labor law, safety, environmental, IP protection, and data privacy matters.
Candidates should possess a Juris Doctor (J.D.) degree from an accredited law school and be admitted to practice law in at least one U.S. state, with the ability or willingness to be admitted in Colorado. A minimum of 15 years of legal experience is required, with substantial experience in aerospace, defense, or regulated industries. Strong expertise in government contracting, export control regulations (ITAR/EAR), and defense procurement structures is essential. The ideal candidate will have a proven track record in managing complex contracts, corporate transactions, regulatory compliance, and litigation, along with excellent judgment and the ability to advise senior management on risk-based decision-making.
The base compensation for this role ranges from $375,000 to $415,000, determined by education, experience, knowledge, skills, and abilities. This range is intentionally broad to accommodate individuals with diverse backgrounds and experiences.
