Debt Capital Markets Attorney
Axiom is seeking a Debt Capital Markets Counsel to join its Corporate and Securities team, focusing on bond issuances, capital-raising transactions, and covenant structuring, particularly in high-yield and international debt offerings. The ideal candidate will possess deep expertise in U.S. securities law and SEC regulations governing debt securities, including experience with credit ratings, debenture offerings, and complex financing structures. This role offers the flexibility of remote work within the United States.
Key responsibilities include drafting, reviewing, and negotiating bond offering documents, indentures, debentures, offering memoranda, and related covenant packages. The counsel will provide legal guidance on U.S. securities law and SEC regulations governing bond issuances, capital-raising strategies, and covenant structuring. Collaboration with issuers, underwriters, internal finance teams, and external counsel on high-yield, investment-grade, and cross-border debt capital markets transactions is essential. Managing securities law, disclosure, and covenant compliance issues for clients in corporate and financial institution sectors is also a key aspect of the role. Staying ahead of debt capital markets trends and regulatory developments under the Securities Act of 1933 to provide proactive, business-oriented counsel is expected.
Candidates should have over five years of experience in debt capital markets, securities law, or related corporate finance practices. A strong knowledge of SEC regulations, bond offerings, covenant structures, and credit rating considerations is required. A proven track record of advising clients on high-yield bond transactions, Rule 144A offerings, and international debt issuances is essential. Excellent communication, negotiation, technology, and problem-solving skills are necessary. A Juris Doctor (JD) degree and licensure to practice law in an applicable jurisdiction are mandatory.
The estimated total compensation for this full-time role ranges from $1,045,000 to $3,250,000 per year, based on various factors including experience, skills, certifications, location, and business needs.
