Senior Contract Solutions Lawyer, APAC
Carta is seeking a Senior Contract Solutions Lawyer to join its APAC team, focusing on negotiating and managing high volumes of pre-M&A contracts for investment fund and asset manager clients. This role is integral to Carta's mission of transforming private capital through AI-driven solutions.
In this position, you will independently negotiate and execute various pre-M&A contracts, including NDAs, NRLs, joinders, and engagement letters, while maintaining direct communication with counterparties to meet agreed service level agreements. You will serve as the primary day-to-day contact for sophisticated investment fund and asset manager clients, building trusted advisor relationships. Additionally, you will maintain and evolve client-specific contract playbooks to ensure consistency and quality across negotiations, mentor junior lawyers and paralegals, and contribute to a high-performing team culture. Your role will also involve utilizing and continuously improving Carta's AI-backed legal technology tools, managing the full contract lifecycle from initial review through execution and system logging.
The ideal candidate will possess a law degree and be licensed to practice in an APAC jurisdiction, the UK, the US, or Canada, with over five years of post-qualification experience. You should have a proven track record in independently negotiating pre-M&A contracts within a financial services legal environment. Strong client advisory skills, commercial judgment, and the ability to balance legal risk with business objectives are essential. Experience in mentoring junior lawyers and paralegals, along with proficiency in AI-backed contract review tools, is highly preferred. Additionally, the ability to review and negotiate in Japanese, Korean, or Mandarin is advantageous.
