Lead Commercial Legal Counsel
As Lead Commercial Legal Counsel at GitLab, you will play a pivotal role in managing complex, high-value commercial transactions across the Americas. Reporting to the Director of Legal, Commercial, you will provide practical legal guidance that supports business objectives while effectively managing risk. This position offers significant ownership, allowing you to independently lead strategic transactions and serve as a trusted legal partner to Sales and cross-functional stakeholders.
Your primary responsibilities will include negotiating complex commercial and technology agreements, such as enterprise software, software as a service, partnership, services, consulting, marketing, licensing, data privacy, and AI-related contracts. You will own end-to-end legal support for strategic large-enterprise transactions, particularly focusing on AMER Enterprise matters. Additionally, you will advise Sales leadership and cross-functional partners on contract structure, negotiation strategy, and risk allocation, while assessing legal and commercial risks in complex transactions and providing clear recommendations and practical alternatives.
To be successful in this role, you should hold a J.D. from an accredited law school and have active bar membership in at least one U.S. state. You should bring substantial experience from a law firm and/or in-house legal setting, focusing on commercial and technology transactions. Demonstrated experience in negotiating and closing complex enterprise agreements involving software, software as a service, services, partnerships, data privacy, and AI-related terms is essential. The ability to manage a high volume of strategic legal matters independently and bring them to resolution with limited supervision is also required.
