Axiom is seeking a Healthcare Commercial Counsel to support its pharmaceutical and biotechnology clients. This role focuses on providing legal support for commercial contracting activities related to medical devices, including drafting, reviewing, and negotiating agreements with customers, distributors, vendors, and strategic partners. The ideal candidate will have experience advising medical device manufacturers on a wide range of commercial transactions and a strong understanding of healthcare regulatory considerations that impact contracting in this space.

Key responsibilities include drafting, reviewing, and negotiating various commercial agreements, such as sales agreements, distribution agreements, purchasing contracts, group purchasing organization (GPO) agreements, and vendor/service agreements. The counsel will provide legal guidance on contracting strategies that align with business objectives while ensuring compliance with applicable healthcare laws and regulations. Additionally, the role involves advising on regulatory and compliance considerations impacting commercial arrangements, including the Anti-Kickback Statute, False Claims Act, Sunshine Act, and related state laws. The counsel will also review and structure relationships with distributors, suppliers, and healthcare providers to mitigate legal and compliance risks and support contracting related to product commercialization, including pricing, discounts, rebates, and value-based arrangements. Collaboration with Sales, Marketing, Procurement, Compliance, and Regulatory teams is essential to support business initiatives and contract execution.

Candidates should have direct experience supporting commercial contracting for medical device, pharmaceutical, or healthcare companies. A strong background in drafting and negotiating complex commercial agreements within regulated healthcare environments is required. Familiarity with healthcare fraud and abuse laws as applied to commercial relationships is essential. The position requires an active license and good standing in a U.S. state.
