Corporate Lawyer

Axiom is seeking skilled corporate lawyers with experience in mergers and acquisitions, real estate transactions, and corporate governance to support our clients on full-time interim engagements. Ideal candidates will have experience conducting due diligence, drafting deal documentation, and negotiating commercial contracts from both an in-house and private practice perspective, and will be available to work a hybrid in-office schedule in Sydney or Brisbane.

Responsibilities include providing legal support on M&A transactions, including due diligence, structuring, and drafting/negotiating key transaction documents. The role also involves drafting, reviewing, and negotiating real estate documentation, such as leases, sale and purchase agreements, and related property contracts. Additionally, the lawyer will prepare, review, and negotiate a broad range of commercial agreements, including services, supply, vendor, and confidentiality agreements.

Candidates must have 5+ years’ post-qualification experience advising on complex M&A transactions, including legal due diligence, deal structuring, and drafting/negotiating SPAs, shareholder agreements, and ancillary documentation for corporate and institutional clients. A strong background in real estate transactions is required, with a track record of drafting, reviewing, and negotiating commercial leases, sale and purchase agreements, and related property contracts across a range of asset classes. Broad commercial contracts expertise is also essential, including preparing, reviewing, and negotiating services, supply, vendor, and confidentiality agreements, and providing pragmatic, business-focused advice on associated corporate and regulatory issues.
