CaseIQ is seeking a Commercial Counsel to join our dynamic legal team. As a key member of our organization, you will play a pivotal role in managing and supporting a high volume of commercial transactions, including Requests for Proposals (RFPs), Non-Disclosure Agreements (NDAs), Master Service Agreements (MSAs), Data Processing Agreements (DPAs), and vendor agreements. This position offers an exciting opportunity to work closely with our U.S. Sales and Success teams, guiding transactions through evaluation, negotiation, and closure to facilitate timely business dealings while minimizing risk exposure.

In this role, you will be responsible for drafting and negotiating professional services agreements, partnership contracts, and other commercial agreements. You will also contribute to the improvement and maintenance of agreement templates, playbooks, and other legal documents to support our global scaling efforts. Additionally, you will act as a business partner to various functional areas, including Sales, Human Resources, Marketing, and Engineering & Product teams, providing day-to-day legal support and sharing your expertise to address their legal needs.

The ideal candidate will possess a law degree from an accredited institution and be qualified to practice law with a demonstrated record of success. A minimum of 5 years of experience in commercial transactions and contract negotiation is required, with an emphasis on enterprise sales, SaaS/cloud-based offerings, privacy, and intellectual property. Knowledge of data privacy laws, particularly in the SaaS industry, is a plus. The candidate should thrive in a global legal team environment, work effectively cross-functionally, and have the ability to manage multiple assignments with concurrent deadlines. Strong communication skills, a pragmatic approach to complex legal issues, and a high level of personal integrity are essential.
