Bengoshi Associate, Real Estate practice, Tokyo
Clifford Chance, a leading international law firm with over 30 offices worldwide, is seeking a mid-level Japan-qualified Bengoshi to join its dynamic Real Estate practice in Tokyo. The successful candidate will play a pivotal role in advising both global and domestic clients on complex real estate investments, securitization structures, and regulatory requirements within Japan.
In this role, the associate will be responsible for advising foreign and domestic investors on Japanese real estate transactions, including acquisitions, asset management, and exits. They will lead and support transactions involving TMK (Tokutei Mokuteki Kaisha) and GK-TK (Godo Kaisha – Tokumei Kumiai) investment structures, providing comprehensive legal support. Additionally, the associate will interpret and advise on regulatory requirements under the TMK Law, draft and negotiate documentation related to real estate investments, coordinate due diligence processes, and manage multiple workstreams while liaising with overseas offices and cross-border teams.
The ideal candidate will be a Japan-qualified Bengoshi with approximately 3–6 years of post-qualification experience in real estate or structured finance. They should have demonstrated experience in Japanese real estate transactions, including deep familiarity with TMK and GK-TK investment structures, and a solid understanding of regulatory frameworks applicable to real estate investment, including the TMK Law. Strong drafting skills in both Japanese and English, the ability to handle complex matters with minimal supervision, and a team-oriented mindset with strong communication and stakeholder-management skills are essential. An interest in mentoring junior team members and contributing to a collaborative team culture is also important.
