As Vice President of Legal – Commercial Transactions at Barkley, you will lead the legal team in drafting, reviewing, and negotiating a variety of technology and commercial agreements to support our dynamic advertising agency. This role requires a seasoned legal professional with extensive experience in commercial contracting and a strong ability to navigate complex, fast-paced business transactions.

Your primary responsibilities will include drafting and negotiating a wide range of contracts such as subscription agreements, master service agreements, professional services agreements, reseller/distribution arrangements, and confidentiality and data protection agreements. You will collaborate closely with internal stakeholders to facilitate transactions while effectively managing legal risks, provide guidance on contract interpretation and dispute resolution, and ensure compliance with applicable legal and regulatory requirements. Additionally, you will develop and refine contract templates, playbooks, and negotiation guidelines to streamline the contracting process.

The ideal candidate will possess a Juris Doctor (J.D.) from an accredited law school and be admitted to practice in Missouri or Illinois. A minimum of 10 years of relevant experience is required, including at least 3 years focused on drafting and negotiating technology and commercial agreements. Strong knowledge of contract law, commercial transactions, and intellectual property issues in technology licensing and services agreements is essential. Experience supporting enterprise technology or digital transformation initiatives, familiarity with AI governance frameworks, privacy, and data protection are also important. Excellent drafting, analytical, and communication skills, along with the ability to balance legal and business considerations, are crucial. The candidate should be detail-oriented, organized, and capable of managing multiple projects with competing priorities.
