As Director, Legal – Commercial Transactions at Barkley, you will be an integral part of our expanding legal team, focusing on drafting, reviewing, and negotiating technology and commercial agreements to support our dynamic advertising agency. This role requires a candidate with substantial commercial contracting experience, strong negotiation skills, and the ability to assist business teams in complex, fast-paced transactions.

In this position, your primary responsibilities will include drafting, reviewing, and negotiating a variety of technology and commercial contracts, such as subscription agreements, master service agreements, professional services agreements, reseller/distribution arrangements, and confidentiality and data protection agreements. You will collaborate with internal stakeholders to facilitate transactions while managing legal risks, provide guidance on contract interpretation and dispute resolution, and ensure compliance with applicable legal and regulatory requirements. Additionally, you will develop and enhance contract templates, playbooks, and negotiation guidelines to streamline the contracting process.

The ideal candidate will possess a Juris Doctor (J.D.) from an accredited law school and be admitted in Missouri or Illinois. You should have a minimum of 7-10 years of relevant experience, including at least 3 years focused on drafting and negotiating technology and commercial agreements. A strong understanding of contract law, commercial transactions, and intellectual property issues in technology licensing and services agreements is essential. Experience supporting enterprise technology or digital transformation initiatives, familiarity with AI governance frameworks, privacy, and data protection, along with excellent drafting, analytical, and communication skills, are also required. The ability to balance legal and business considerations, attention to detail, organizational skills, and the capacity to manage multiple projects with competing priorities are crucial.

Barkley offers a competitive salary range of $120,000 to $150,000 annually, commensurate with experience.
