Houston Mid-level Capital Markets Associate
Clifford Chance's Houston office is seeking a mid-level associate to join its Capital Markets practice. The role involves working on complex domestic and international capital markets transactions, focusing on clients in the energy, infrastructure, and industrial sectors. Responsibilities include advising on debt and equity matters such as initial public offerings, follow-on offerings, high-yield debt offerings, SPAC transactions, liability management exercises, project bonds, and securities law and corporate governance matters.
The ideal candidate should have at least three years of recent law firm experience representing issuers, underwriters, private equity sponsors, and financial institutions in capital markets and corporate transactions. Experience with debt and equity offerings, SEC-registered and private securities offerings, securities law compliance, public company reporting obligations, and corporate governance matters is essential. Familiarity with liability management transactions, restructurings, and SPAC transactions is preferred.
Candidates should possess a Juris Doctor (J.D.) from an accredited law school and be an active member in good standing with the Texas Bar or eligible to waive into the Texas Bar. Strong technical skills, commercial judgment, and a practical, business-oriented approach are necessary. The role requires the ability to independently manage significant portions of transactions, coordinate diligence and disclosure processes, draft and negotiate transaction documents, and work closely with clients, investment banks, accountants, and opposing counsel.
The salary range for this position is $260,000 to $310,000 annually, with actual compensation commensurate with the candidate's qualifications and relevant experience.
