Sony Music Entertainment is seeking a highly skilled and business-minded M&A attorney to join its global M&A and Strategic Investments legal team as Director, Business & Legal Affairs - Corporate M&A. This role involves supporting complex transactions from evaluation through closing, collaborating closely with business partners and cross-functional teams across the organization. The position requires significant M&A experience, general corporate knowledge, and exceptional drafting and negotiating abilities.

Key responsibilities include providing support for all aspects of global M&A, strategic investments, joint ventures, divestitures, and other corporate transactions. The role involves drafting, negotiating, and finalizing a wide range of transactional agreements, such as engagement letters, approval documents, NDAs, term sheets, joint venture agreements, and equity and asset purchase agreements. Additionally, the Director will drive and manage due diligence processes, lead cross-functional workstreams, and provide general corporate advice on governance matters and issues related to past and current transactions.

The ideal candidate will have a minimum of 3 years of relevant experience at a major law firm with significant responsibility in supporting complex M&A transactions. A Juris Doctor degree from a reputable law school and admission to the New York Bar in good standing are required. Exceptional negotiating and drafting skills, strong communication and analytical capabilities, and the ability to manage competing priorities in a fast-paced environment are essential. Flexibility to support broader corporate legal needs outside of M&A as business priorities evolve is also important.

The anticipated annual base salary for this position ranges from $165,000 to $180,000 USD.
