Commercial Lawyer
As a Commercial Lawyer at Upstart, you will be an integral part of the commercial legal team, collaborating closely with Sales, Procurement, Product, and Finance departments. This role offers the opportunity to engage in high-impact commercial deals that drive revenue and strengthen partnerships.
Your primary responsibilities will include serving as commercial counsel for vendor and general commercial contracts, encompassing SaaS, data, auto dealer software, and other third-party agreements. You will review, draft, and negotiate a variety of commercial agreements, utilizing playbooks and templates while identifying when bespoke structuring is necessary. Additionally, you will manage deal flow efficiently by triaging and handling tickets through tools like Zip and Ironclad, escalating issues to appropriate stakeholders, and streamlining intake, approvals, and closing processes.
The ideal candidate will possess a J.D. degree with solid academic credentials and an active state bar membership, preferably in NY or CA. A minimum of 5 years of experience in a transactional practice at a law firm and/or in-house, focusing on technology and commercial contracts, is required. Experience with complex SaaS and other technology/data agreements, particularly in regulated industries or when contracting with regulated financial institutions, is highly desirable. Strong analytical judgment, high emotional intelligence, and the ability to build consensus under time constraints are essential.
Upstart offers a competitive compensation package, including a base salary ranging from $152,000 to $210,400, depending on geographic location and individual qualifications.
