Commercial Counsel, San Francisco, CA (Hybrid) (962-SLS)
Our client, a publicly traded digital health company leveraging technology and AI to transform care delivery, is seeking a Commercial Counsel to join their San Francisco, CA office. Reporting to the Associate General Counsel, Commercial, this role is integral to the legal team, collaborating closely with commercial, sales, and procurement stakeholders to support revenue-generating activities and operational initiatives. The position offers exposure to a broad range of legal matters beyond core commercial work, providing meaningful opportunities for growth within a collaborative and fast-paced environment.
Key responsibilities include leading contract review and negotiation efforts in support of commercial and procurement activities, serving as a primary legal partner to business stakeholders. The Commercial Counsel will identify and mitigate legal and business risks in commercial agreements while providing practical, solutions-oriented guidance to drive transactions forward. Additionally, the role involves designing and improving contract templates, playbooks, and workflows to increase efficiency and scalability, including supporting contract management systems and training business partners. Advising on healthcare regulatory, privacy, and compliance considerations, as well as contract interpretation, in collaboration with cross-functional teams, is also a critical aspect of the position.
The ideal candidate possesses approximately 4-7 years of legal experience, with a strong focus on drafting and negotiating commercial agreements, particularly in healthcare, technology, or SaaS environments. A Juris Doctor (J.D.) from an accredited law school and active bar membership in at least one U.S. jurisdiction are required. Experience supporting commercial teams, including sales and procurement functions, in an in-house or high-growth environment is essential. Familiarity with healthcare regulatory frameworks, privacy considerations, and contract interpretation in a regulated industry is highly desirable. Experience with contract lifecycle management systems and an interest in leveraging technology, including AI tools, to improve legal processes are also beneficial. Strong judgment, communication skills, and the ability to manage multiple priorities independently in a fast-paced setting are crucial for success in this role.
The role offers a competitive compensation package, including a base salary range of $200,000 – $220,000, together with eligibility for equity participation.
