Commercial Counsel
As Commercial Counsel at Brex, you will be a key member of the Legal team, supporting and negotiating revenue-generating agreements that enable Brex’s sales, partnerships, and go-to-market teams. You will also negotiate and advise on inbound vendor and procurement agreements, helping teams across the company operate efficiently and securely. You will manage a high volume of commercial transactions, driving deal velocity while thoughtfully allocating risk in a complex fintech environment. You’ll provide clear, pragmatic guidance on legal issues arising in commercial transactions, and collaborate closely with sales, deal desk, partnerships, privacy, procurement, security, product, and engineering. You will contribute to the ongoing development of Brex’s commercial legal resources, including playbooks, templates, policies, and workflows that improve consistency and support scalable growth. Throughout, you will balance risk management with business objectives and serve as a reliable partner to the business.
Key responsibilities include drafting, reviewing, and negotiating revenue-generating agreements with Brex’s customers and partners, as well as inbound commercial contracts such as technology agreements, master and professional services agreements, consulting contracts, and marketing and event agreements. You will contribute to the continuous improvement of commercial legal processes and resources, including developing and refining contracting playbooks, templates, policies, procedures, and workflows. Leveraging and optimizing contract lifecycle management (CLM) systems and AI contracting tools is also a critical aspect of the role. Additionally, you will identify and mitigate contractual risks, escalating complex issues to senior legal team members as needed, and provide sound, business-oriented legal advice to cross-functional partners on contract terms, deal structures, and commercial legal risks and opportunities.
The ideal candidate will possess strong contract drafting skills with attention to precision and clarity. An entrepreneurial mindset and comfort with taking ownership and acting upon it are essential; you should welcome challenges and thrive in dynamic, fast-paced environments. A minimum of 3-5 years of relevant experience practicing commercial law, either in-house at a technology company or within the corporate/tech transactions department of a reputable law firm, is required. Experience at fast-paced growing technology companies is preferred. A Juris Doctor (JD) and active bar membership in good standing in at least one US jurisdiction are mandatory. Demonstrated experience drafting, reviewing, and negotiating complex inbound technology and commercial contracts is crucial, along with the ability to view legal issues and solve problems within the context of business objectives. Exceptional judgment, attention to detail, and integrity, with the ability to manage multiple priorities and deadlines in a fast-paced environment, are also necessary. You should be a builder, motivated by the continuous development and improvement of internal processes and resources, and be flexible, adaptive, and always open to learning something new.
The expected salary range for this role is $224,640 to $280,800. However, the starting base pay will depend on a number of factors including the candidate’s location, skills, experience, market demands, and internal pay parity. Depending on the position offered, equity and other forms of compensation may be provided as part of a total compensation package.
