Brex is seeking a Commercial Counsel to join its Legal team, supporting the company's growth by providing strategic legal advice and guidance. The role involves negotiating revenue-generating agreements, managing vendor and procurement contracts, and collaborating with various teams to align legal terms with business objectives. This position is based in New York, with a hybrid work environment requiring in-office presence on specific days.

Key responsibilities include drafting, reviewing, and negotiating a wide range of commercial contracts, such as technology agreements, master and professional services agreements, consulting contracts, and marketing and event agreements. The Commercial Counsel will also contribute to the continuous improvement of commercial legal processes and resources, including developing and refining contracting playbooks, templates, policies, procedures, and workflows. Additionally, the role involves identifying and mitigating contractual risks, providing sound, business-oriented legal advice to cross-functional partners, and collaborating closely with internal stakeholders to understand business needs and translate them into clear legal terms and conditions.

The ideal candidate will have strong contract drafting skills with attention to precision and clarity. They should possess an entrepreneurial mindset, be comfortable taking ownership, and thrive in dynamic, fast-paced environments. A minimum of 3-5 years of relevant experience practicing commercial law, either in-house at a technology company or within the corporate/tech transactions department of a reputable law firm, is required. A Juris Doctor (JD) and active bar membership in good standing in at least one US jurisdiction are also necessary. Demonstrated experience drafting, reviewing, and negotiating complex inbound technology and commercial contracts, along with exceptional judgment, attention to detail, and integrity, are essential. The candidate should be motivated by the continuous development and improvement of internal processes and resources and be flexible, adaptive, and always open to learning something new.

The expected salary range for this role is $192,000 - $240,000. However, the starting base pay will depend on a number of factors, including the candidate’s location, skills, experience, market demands, and internal pay parity. Depending on the position offered, equity and other forms of compensation may be provided as part of a total compensation package.
