Sr. Corporate Counsel

We’re looking for a motivated self-starter with law firm and in-house public company securities, corporate governance, and vendor contracts negotiation experience to join our Legal team. Working in our New York City office and reporting to our Associate General Counsel, Corporate, you’ll work directly with teams across the company and across the globe, including finance, investor relations, communications, compliance, and procurement. IN THIS ROLE YOU'LL

- Work across teams to support the Company’s corporate governance, corporate record keeping, and public company reporting and compliance efforts

- Prepare agendas, resolutions, and minutes for Board and committee meetings to ensure accurate documentation

- Prepare, review and file regulatory filings for state insurance and secretary of state departments

- Review SEC filings including Form 8-K, 10-K, 10-Q, and Proxy Statements

- Review press releases, investor presentations, and other public announcements for compliance with SEC and regulatory requirements

- Drive process efficiencies by building AI tools that streamline projects and day-to-day operations.

- Review, draft, and negotiate vendor contracts, such as SaaS agreements, professional services agreements, and marketing agreements
