Senior Corporate Paralegal

The Senior Corporate Paralegal will play a pivotal role in supporting the company's legal and compliance functions, ensuring efficient execution of corporate governance tasks, and managing critical legal workstreams. This position is based in Torrance, California, and offers a hybrid work environment.
In this role, the Senior Corporate Paralegal will be responsible for managing the company's capitalization table and tracking equity transactions. They will draft and maintain corporate documents, including board and shareholder consents, resolutions, meeting minutes, and transactional closing binders. The position also involves circulating shareholder notices and company disclosures in compliance with Delaware corporation law and SEC rules, preparing documents for board meetings, financial transactions, stock transfers, and employee equity grants, and coordinating signatures on various corporate documents. Additional duties include assisting with the formation and maintenance of new corporate entities, both domestic and international, managing annual corporate obligations and filings, completing filings related to securities laws compliance, assisting with KYC reviews and sanctions screenings, tracking investor records, and supporting the negotiation and management of basic commercial agreements.
Candidates should possess a bachelor's degree and have at least 5 years of experience as a paralegal or legal analyst in a law firm or in-house legal department, with a focus on corporate governance and corporate finance. Experience managing corporate cap tables, preferably using platforms like Shareworks or Carta, is essential. A basic understanding of stock options, restricted stock units, and related vesting schedules is required. Strong organizational skills, excellent verbal and written communication abilities, and the capacity to prioritize and handle multiple competing demands in a high-volume, fast-paced environment are crucial. Preferred qualifications include over 10 years of experience in a similar role, a paralegal certificate, Notary Public status, experience with mature private companies, and familiarity with the formation and management of international entities.
The compensation for this role ranges from $103,900 to $142,860 USD annually, depending on experience and qualifications.
