Senior Corporate Counsel, Commercial

Okta is seeking a Senior Corporate Counsel, Commercial, to provide legal support to its sales and professional services teams, focusing on large enterprise customers in North America. This role involves offering legal guidance, structuring complex deals, and negotiating SaaS Subscription Agreements and related commercial documents.

Key responsibilities include drafting and negotiating outbound SaaS master subscription agreements, amendments, NDAs, and SOWs, particularly for strategic enterprise accounts in regulated industries such as banking, finance, and healthcare. The role also entails providing prompt legal support to internal clients, ensuring agreements align with Okta's policies, and collaborating with various internal teams to meet business objectives.

Candidates should have over seven years of transactional legal experience with enterprise-level technology agreements, including SaaS subscriptions and cloud services. At least four years of in-house experience with a large technology vendor is required. Experience supporting sales teams targeting large enterprise accounts in North America, especially in regulated industries, is essential. Strong communication skills, the ability to manage multiple complex deals, and knowledge of the SaaS business model and related data privacy frameworks are also necessary.

The annual base salary for this position ranges from $204,000 to $280,500, depending on factors such as skills, qualifications, experience, and work location.
