Mid–Senior Associate – Equity Capital Markets
As a mid–senior associate in the Equity Capital Markets (ECM) team at AS&H Clifford Chance, you will play a pivotal role in executing and managing complex ECM transactions within Saudi Arabia and the broader region. AS&H Clifford Chance is a leading law firm in Saudi Arabia, renowned for combining global standards with local expertise across key commercial areas, including capital markets, corporate and M&A, finance and banking, real estate, public policy and regulatory, and litigation and dispute resolution.
Your primary responsibilities will encompass leading the day-to-day execution of ECM transactions, such as Saudi IPOs and secondary offerings. You will advise clients on Saudi capital markets regulations, including the Capital Market Authority (CMA) requirements and Tadawul listing rules, while considering cross-border implications. Drafting, reviewing, and occasionally translating prospectuses, offering documents, and submission materials will be integral to your role. Additionally, you will draft, review, and negotiate transaction agreements, manage transaction timelines, coordinate with regulators, banks, auditors, and international counsel, and supervise and mentor junior associates and trainees.
The ideal candidate will possess a strong academic background in law and be a qualified lawyer with substantial post-qualification experience in equity capital markets. Proficiency in both English and Arabic is essential, given the need to draft and review complex legal documents in both languages. A deep understanding of Saudi capital markets regulations, including CMA requirements and Tadawul listing rules, is crucial. Excellent analytical, research, and organizational skills are required, along with the ability to work effectively in a fast-paced environment and manage multiple projects with tight deadlines. Strong interpersonal skills and the ability to work collaboratively within a team are also essential.
