Legal Counsel
Workstream is seeking an experienced in-house Legal Counsel to support its rapid growth in the HR, payroll, and hiring platform sector. This role involves handling day-to-day legal needs across contracts, compliance, product counsel, governance, and employment matters, while collaborating with external counsel on specialized issues. The Legal Counsel will serve as a trusted business partner to various departments, including Sales, Product, Partnerships, Finance, and People Operations, ensuring legal rigor aligns with the company's dynamic and fast-paced environment.
Key responsibilities include drafting, reviewing, and negotiating customer Master Service Agreements (MSAs), Data Processing Agreements (DPAs), amendments, and vendor agreements, as well as maintaining contract playbooks and templates. The role also involves advising on privacy compliance matters such as GDPR, CCPA, and CPRA, ensuring that the company's Privacy Policy and Terms of Service remain current with product and regulatory changes. Additionally, the Legal Counsel will partner with Product and Engineering teams to provide legal guidance on new features, particularly those involving AI/ML capabilities, data handling practices, and user consent requirements. Managing intellectual property matters, supporting board governance, and advising on employment agreements and compliance are also integral parts of the role.
The ideal candidate will be licensed to practice in at least one U.S. jurisdiction, with a preference for California bar membership, and possess over 10 years of legal experience, including 5-7 years in-house at a SaaS or technology company. Expertise in commercial contract negotiation, particularly in SaaS agreements, and a strong knowledge of privacy compliance frameworks are essential. Experience advising product and engineering teams on legal implications of product features, familiarity with employment law, intellectual property basics, and board governance are also required. Excellent communication skills and the ability to translate legal concepts for business and product stakeholders are crucial.
This part-time engagement requires 20–30 hours per week, with flexibility to increase during M&A or major deal cycles. The compensation ranges from $125 to $150 per hour, based in Utah, and the position reports to the Head of Finance. The Legal Counsel will work alongside external counsel on specialized matters, contributing to Workstream's mission to empower businesses and their hourly employees through innovative technology solutions.
