Legal Counsel
Red Cell Partners is seeking a mission-driven Legal Counsel to join our dynamic and high-performing legal team. As an incubation firm, we build and invest in rapidly scalable technology-led companies addressing critical challenges in healthcare, cyber, and national security. This role offers the opportunity to provide business-minded legal support that enables innovation and speed across our portfolio companies.
In this position, you will support a broad range of legal matters, including contract review and negotiation, financings, and regulatory research. Your day-to-day responsibilities will involve drafting, reviewing, and negotiating commercial agreements such as vendor and customer contracts, NDAs, and service agreements. Additionally, you will assist in corporate transactions, conduct legal research on emerging laws and regulations impacting our core industries, and collaborate with business leaders to provide pragmatic legal advice that facilitates growth.
The ideal candidate holds a J.D. and is currently licensed to practice in good standing in a U.S. jurisdiction, with 4+ years of in-house or corporate law firm experience. We are looking for a team-oriented, high-energy, and proactive individual who gets things done and enhances the work environment for everyone around them. Curiosity about our core industries—venture, national security, cyber, and healthcare—is essential.
Preferred qualifications include experience drafting, reviewing, and negotiating a range of commercial contracts, supporting venture-backed or high-growth startups, familiarity with healthcare technology or health regulation and compliance, and experience using AI legal tech or other productivity tools.
