Legal Counsel
Metabit Technology LLC is seeking a Legal Counsel to join our team in Hong Kong or Singapore. This role offers the opportunity to work within a dynamic environment, providing comprehensive legal support across various aspects of our fund operations and corporate activities.
The Legal Counsel will lead the drafting, review, and negotiation of fund establishment and constitutive documents, with a particular focus on Variable Capital Companies (VCCs) and related fund structures. Responsibilities include preparing and negotiating investor documentation, such as subscription agreements and side letters, as well as drafting and reviewing vendor, service, technology, and data agreements. Additionally, the role involves supporting the incorporation and ongoing maintenance of fund and management company entities, advising on employment matters across jurisdictions, and collaborating with the Compliance function on regulatory requirements affecting fund operations and licensing.
The ideal candidate is a qualified lawyer admitted in Singapore or Hong Kong (or a comparable common law jurisdiction) with approximately 4–7 years of post-qualification experience. Substantive experience in funds and investment management legal work, particularly in the establishment and structuring of Singapore VCCs, is essential. Solid corporate and commercial contracting experience, strong drafting and negotiation skills, and the ability to manage multiple workstreams independently are required. A commercially minded and solutions-oriented approach, with the ability to translate legal risk into practical business guidance, is highly valued. Cross-border exposure, such as experience in China, India, or the Middle East, is advantageous.
