Legal Counsel (Company Secretariat)

Moniepoint is seeking an experienced Legal Counsel to provide comprehensive legal and company secretarial services, supporting the company's strategic objectives. This role involves coordinating board and shareholder meetings, maintaining statutory records, and ensuring compliance with corporate governance standards. The position is remote, offering flexibility while contributing to Moniepoint's mission of delivering financial services across emerging markets.

Key responsibilities include organizing and managing various company meetings, such as board and shareholder meetings, by issuing notices, preparing agendas, and recording minutes. The Legal Counsel will maintain statutory books, ensure the safekeeping of legal documents, and oversee the timely filing of regulatory returns with relevant authorities. Additionally, the role involves drafting resolutions, monitoring compliance with legal obligations, and providing advice on corporate governance practices.

The ideal candidate will possess a Bachelor of Laws from an accredited institution and a Qualifying Certificate from the Nigerian Law School. They should have 4 to 6 years of experience as a legal counsel, with proven expertise in providing company secretarial services to a CBN-regulated financial institution. Experience in drafting and negotiating commercial and technology agreements, the ability to interpret regulations, and strong communication and interpersonal skills are essential. A good understanding of the fintech space and applicable laws and regulations is also required.
