The Director & Assistant General Counsel at Pinterest is a pivotal role within the Legal & Compliance department, reporting directly to the Vice President & Deputy General Counsel. This position involves leading a high-performing team and collaborating closely with various departments, including Finance, Investor Relations, Accounting, Corporate Development, People/Total Rewards, Equity, Internal Audit, and the Board of Directors. The role is integral to ensuring Pinterest's compliance with U.S. securities laws and corporate governance standards, thereby supporting the company's mission to inspire users worldwide.

Key responsibilities include overseeing U.S. securities law compliance and public company disclosures, such as drafting and reviewing Forms 10-K, 10-Q, 8-K, proxy statements, registration statements, and Section 16 filings. The role also involves advising on disclosure strategies, managing the earnings-cycle process in partnership with Finance and Investor Relations, and leading annual meeting and proxy matters. Additionally, the Director & Assistant General Counsel is responsible for enhancing insider trading compliance programs and providing legal support for capital markets activities and corporate transactions, including mergers and acquisitions.

Candidates must possess a Juris Doctor (JD) degree from an accredited law school and be a member in good standing of a state bar. A minimum of 10 years of relevant legal experience is required, with at least 5 years focused on U.S. securities law compliance and corporate governance matters. Experience in a public company legal department and prior management experience are highly desirable. Strong analytical skills, attention to detail, and the ability to work collaboratively across departments are essential for success in this role.
