Corporate Paralegal - NYC
Axiom is seeking experienced Corporate Paralegals to join our team in New York, providing support to Fortune 100 clients on a temporary basis. This role involves working closely with clients' legal teams to ensure compliance with corporate governance standards and regulatory requirements.
Key responsibilities include drafting and reviewing corporate governance documents such as board resolutions, bylaws, policies, and charters. The paralegal will conduct legal research on corporate governance and compliance matters, maintain and update corporate records—including board and committee minutes and shareholder records—and assist with the preparation and filing of corporate documents like annual reports, proxy statements, and SEC filings.
Candidates must have at least 9 years of corporate governance experience as a paralegal in a large corporate in-house environment. A strong understanding of corporate governance principles, familiarity with corporate filings, SEC regulations, and compliance requirements are essential. Proficiency in legal research tools, databases, and related software is required. The role involves engagement-based assignments, typically seconded to clients for approximately six months at a time.
Axiom offers competitive compensation, with estimated total compensation for non-attorney roles ranging from $71,250 to $309,750 per year. Compensation decisions are based on various factors, including experience, skills, certifications, location, and business needs.
