Associate - Private Company Mergers & Acquisitions
Clark Wilson LLP is seeking an Associate to join our Private Company Mergers & Acquisitions practice group. This full-time, permanent position offers an opportunity to work within a collegial environment at a firm recognized for its professional excellence and commitment to client service.
The successful candidate will oversee the M&A due diligence process, manage transactions from inception to completion—including negotiating Letters of Intent (LOIs) and Non-Disclosure Agreements (NDAs)—and draft and negotiate Asset Purchase Agreements and Share Purchase Agreements. Responsibilities also include preparing ancillary documentation and handling undertakings related to cash and trust accounts. Experience in leasing, commercial real estate, intellectual property, bank financing, and a general understanding of employment law are considered assets.
Candidates should possess a client-centered approach with excellent written and oral communication skills, the ability to manage a high-volume practice, and exceptional organizational skills with attention to detail. The role requires sound judgment, discretion, confidentiality, problem-solving abilities, and a high level of responsibility. Strong analytical and drafting skills, an entrepreneurial spirit with ambition to build a long-term practice, and the ability to work both independently and as part of a team are essential.
In addition to a competitive salary range of $140,000 to $180,000, aligned with experience and skills, we offer a comprehensive benefits package.
