Associate Legal Counsel, Commercial Transactions
Silicon Ranch Corporation is seeking an Associate Legal Counsel specializing in Commercial Transactions to join their Nashville, TN office. This role is integral to the company's legal team, focusing on business development, corporate and project finance, and general corporate functions. The ideal candidate will collaborate closely with the Senior Legal Counsel, Commercial Transactions, and various business units to structure, negotiate, and execute complex commercial and financing transactions.
In this position, the Associate Legal Counsel will manage and support corporate and project finance, mergers and acquisitions, and commercial transactions. Responsibilities include conducting due diligence, structuring deals, drafting and negotiating contracts, and overseeing transaction closings. The role also involves drafting, negotiating, and administering key agreements such as power purchase agreements, renewable energy certificate purchase and sale agreements, asset and stock purchase agreements, and consulting or services agreements. Additionally, the candidate will support the negotiation and drafting of financing agreements, including loan agreements, tax equity agreements, letters of credit, indemnity, bonding, and surety agreements, and portfolio credit agreements.
Candidates should possess a Juris Doctor (J.D.) degree from an ABA-accredited U.S. law school and be admitted to the bar in at least one state, with the ability to obtain admission in Tennessee. A minimum of 4-7 years of experience as a commercial transactions or finance attorney at a top-tier law firm or sophisticated corporate legal department is required. Experience in managing high-value commercial contracts and a proactive approach to identifying and solving legal and business issues are essential. Strong interpersonal skills, attention to detail, and the ability to manage multiple projects are also important.
