As Marqeta’s Assistant General Counsel, Corporate, you will be a senior member of the Corporate Legal team, serving as the right hand to the Deputy General Counsel on corporate and securities matters. This role involves owning core SEC reporting workstreams, driving corporate governance, supporting the Board and its committees, and serving as the primary drafter of the company's proxy statement and related disclosure materials. Marqeta is a leading modern card issuing platform, providing unprecedented flexibility and control for companies to issue cards, authorize transactions, and manage payment operations in real time.

Key responsibilities include owning and driving Marqeta's quarterly and annual SEC reporting cycle, including 10-K, 10-Q, and 8-K filings, in close partnership with Finance, outside counsel, and the Disclosure Committee. You will serve as a primary author and coordinator of the annual proxy statement and related shareholder meeting materials, oversee Section 16 reporting obligations for all executive officers and directors, and support Marqeta's Disclosure Committee by coordinating cross-functional review and certification processes. Additionally, you will monitor and advise on SEC rulemaking developments, NYSE listing standards, and proxy advisory guidance that may affect Marqeta's disclosure obligations.

The ideal candidate will have 10-15+ years of experience in general corporate, international M&A, private equity, venture capital, investments, financing, and strategic transactions. Industry experience in FinTech, payments, financial services/banking, and/or software technology is strongly preferred. Top law firm experience is required, and in-house experience in a corporate M&A function at a public company or PE/VC fund is strongly preferred. The candidate should be a team player who is strategic, innovative, results-driven, and able to provide practical legal and business advice in service to the business's goals. Excellent communication, presentation, negotiation, and drafting skills are essential, along with a JD degree and membership in good standing of a State Bar (New York or California preferred).

Marqeta offers a competitive compensation package, including a base salary range of $215,700 - $317,200, depending on location and experience.
